Our client, a well-established corporate services provider, is looking for a Senior Corporate Administrator to join their Corporate & Trust team.
The successful candidate will manage a diverse portfolio of client entities across Malta, Bermuda and the BVI, ensuring that all statutory, regulatory and governance requirements are met. This is an excellent opportunity for an experienced corporate services professional who is looking to take on greater responsibility, work closely with clients and support the development of junior team members.
Responsibilities:
- Manage a portfolio of companies, trusts, partnerships and special-purpose entities across Malta, Bermuda, the BVI and other jurisdictions as required.
- Prepare and submit statutory and regulatory filings, including annual returns, corporate amendments, appointments and removals of directors and officers, share transfers and other corporate changes.
- Draft and review board and shareholder resolutions, minutes, notices and meeting agendas.
- Coordinate and attend client meetings, prepare accurate minutes and follow up on agreed action points.
- Maintain statutory registers and ensure that all corporate records are accurate, up to date and compliant.
- Support entity incorporations, re-domiciliations, restructurings and dissolutions.
- Ensure ongoing compliance with applicable company law and regulatory requirements across the relevant jurisdictions.
- Liaise with relevant authorities, including the Malta Business Registry, Bermuda Monetary Authority and BVI Financial Services Commission.
- Conduct and review KYC and AML due diligence on client structures and coordinate with internal compliance teams where necessary.
- Liaise with banks, auditors, legal counsel, regulators and other external service providers.
- Act as a key point of contact for clients, responding to corporate and governance-related queries in a timely and professional manner.
- Build and maintain strong, long-term client relationships through proactive communication and excellent service.
- Supervise and support Corporate Administrators, including allocating workloads and overseeing day-to-day activities.
- Provide training, mentoring and guidance to junior team members.
- Review work prepared by junior colleagues to ensure accuracy, quality and compliance with internal procedures.
- Act as a point of escalation for more complex matters before involving senior management.
- Maintain appropriate filing systems in line with internal procedures and data protection requirements.
- Assist management with internal client reviews and improvements to corporate services processes.
- Support the preparation and review of billing, fee estimates and time records.
Requirements:
- Minimum of 3–5 years' experience in corporate administration, company secretarial work or corporate services.
- Strong understanding of company law and corporate governance requirements.
- Familiarity with Malta and common law jurisdictions, particularly Bermuda and the BVI, would be considered an advantage.
- Experience attending and preparing minutes for board and shareholder meetings.
- Previous experience supervising, mentoring or supporting junior team members.
- Strong knowledge of AML and KYC requirements and corporate compliance obligations.
- Excellent written and verbal communication skills in English.
- A professional qualification, or progress towards one, such as CGI/ICSA, STEP, ACCA or a relevant legal or business qualification would be considered an advantage.
- Experience within financial services, fund administration or a trust and corporate services environment is preferred.
- Strong organisational skills, attention to detail and the ability to manage multiple deadlines.
- High level of professionalism, discretion and client focus.
- Strong analytical, problem-solving and interpersonal skills.
- Proficiency in Microsoft Office and corporate administration software.
